10. Dispute Resolution

10.1 Informal Resolution

Except for disputes that qualify for small claims court, any and all disputes between you and Giordano's that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties.

The arbitration shall take place in the state in which the Company maintains its principal place of business, or via video conference at the discretion of the arbitrator. The arbitrator shall have the authority to award any remedy that would be available in a court of law, including injunctive and declaratory relief, except that the arbitrator may not award relief that exceeds the limitations set forth in Section 6 of these Terms.

10.3 Class Action Waiver

YOU AND GIORDANO'S AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. If this class action waiver is found unenforceable, then the entirety of the arbitration agreement in this Section 10 shall be null and void.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court where jurisdiction and venue are appropriate. Additionally, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or other irreparable harm, pending final resolution by arbitration.

11. Term and Termination
